List of documents for opening current accounts for legal entities
- Application for account opening according to the approved form. The application is signed by the legal entity's General Manager or other person authorized by him.
- Agreement of the bank account.
- Copy of the state registration certificate notarized or authorized by the issuing body (for legal entities maintained at budget cost, this document is not required); or the original of the documents for the authorization of the copy thereof by the Bank's responsible employee;
- Copy of the duly registered Constituent Document (Charter/Memorandum/Constituent Act/Deed), notarized or authorized by the authority that carried out the state registration thereof (Deeds approved by the Decree of the President, governmental bodies or local authorities need not be authorized). Legal entities of public law acting on the basis of the law need not provide constituent documents.
- Copy of the certificate on registration with the Uniform State Register of Enterprises and Organizations of Ukraine, notarized or authorized by the body that issued it, or the original of the said certificate for the authorization of the copy thereof by the Bank's responsible employee;
- Copy of the document confirming the legal entity's registration with the tax administration bodies (Form 4-ОПП) notarized or authorized by the body that issued it, or the original of the said document for the authorization of the copy thereof by the Bank's responsible employee;
- Two copies of the cards with signature samples and the seal (the card includes signatures of all persons having the right of first and second signature) notarized or authorized by the organization to which the client is an administrative subordinate.
- Documents confirming the powers of the signatories authorized by the signature of the General Manager (an officer authorized by him) and legal entity seal;
- Passports of the officers indicated in the signature list and originals of the certificates issued by the state tax bodies on the assignment of identification numbers to the said legal entities (originals of documents are personally submitted to the bank by the said officers. The Bank's responsible employee makes copies of the above documents and authorizes them. The copies are also authorized by the document owners in the presence of the Bank's responsible employee).
- Copy of the document confirming the registration with the Pension Fund of Ukraine notarized or authorized by the body that issued it, or the original of the document for the authorization of the copy thereof by the Bank's responsible employee.
- Copy of the insurance certificate of the Fund for Social Insurance for Industrial Injuries and Professional Diseases of Ukraine notarized or authorized by the body that issued it, or the original of the insurance certificate for the authorization of the copy thereof by the Bank's responsible employee.
If the client does not use hired labor in its activities, and, according to the current legislation, is not an insurance contribution payer, a copy of the insurance certificate of the Fund for Social Insurance for Industrial Injuries and Professional Diseases of Ukraine and the document confirming the registration with the Pension Fund of Ukraine does not have to be submitted. The client must indicate in the Application for the account opening that it does not use hired labor.
- If the client has VAT payer status, the certificate of VAT payer registration is presented for authorization of the copy by the Bank's responsible employee.
- Copy of the financial statements provided at the end of the last reporting period preceding the account opening date to the respective tax authorities (Balance Sheet (Form No. 1), Profit and Loss Account (Form No. 2), Entrepreneur Report, etc.) or a Client letter with information on the financial condition (authorized by the client-legal entity's seal and General Manager signature).
If the client has just begun economic activities and has not yet reported to the tax authorities, the Application of the client with the respective information must be presented.
- Additionally, the enterprises must provide the information necessary for the identification of a Bank client-legal entity according to the requirements of Article 64 of the Law of Ukraine "On Banks and Banking".
If the founder of the Bank client-legal entity is the another legal entity (entities) who owns 10 or more percent of the authorized capital thereof, and among the owners of such founding legal entity are legal entities who own 50 and more percent of the authorized capital thereof (2nd-level founders), these are individuals who own 50 and more percent of the authorized capital thereof (3rd-level founders) who are subject to identification.
